NOTICE OF SPECIAL GENERAL MEETING (SGM)
To be held at 3.00pm Tuesday 23rd January 2024

Via Zoom

In accordance with Article 11 of the Articles of Association of the Company, this is formal Notice that a Special General Meeting of the Company has been called by the Board to be held at 3.00pm – 3.45pm on Tuesday 23rd January 2024 via Zoom to consider the following business:

1. Apologies and confirmation of quorum
2. Minutes of previous General Meeting (if any);
3. To consider the following proposed Special Resolution:   “THAT the Articles of Association of the Company be rescinded in their entirety and replaced with the version attached to the Notice calling the Special General Meeting”; and
4. Any Other Business.

NOTES TO ACCOMPANY NOTICE OF SPECIAL GENERAL MEETING:

• In accordance with Article 4 of the current Articles of Association, every member shall appoint a Representative to act for it at any meeting of the Company and may remove and appoint another Representative at any time. Appointments and removals shall be in writing and signed by an officer of the member concerned and shall take effect when approved by the Board.
• Please ensure that the Company has a nominated representative appointed for you as a Company Member to take part in the SGM. Tenant Company Members will be treated as having appointed themselves unless a Representative has been appointed in accordance with Article 4.
• If you need to appoint or change the details of your Representative you will need to contact Jenny Osbourne/Company Secretary at Jenny.osbourne@tpas.org.uk in writing to confirm the details of your Representative. This must be received by 16th January 2024 to enable the Board to consider and approve any appointments in readiness for the SGM.

We will be delivering this SGM on Zoom.  In advance of the session, you will be sent a unique URL to join the event before it begins.
